1. Agreement
These Terms of Service ("Terms") are a contract between you and Shubham Gupta trading as Watch Dog ("Watch Dog", "we", "us"). By installing the Watch Dog browser extension, creating a dashboard account, or purchasing a paid plan, you agree to these Terms, our Privacy Policy, EULA, and Acceptable Use Policy.
If you use Watch Dog on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. Enterprise customers with a signed Order Form under our Master Service Agreement are governed by that MSA to the extent of any conflict with these Terms.
2. The service
Watch Dog provides a browser extension and organization dashboard that scan file uploads locally on the device to detect potentially sensitive information before upload. File bytes are scanned on-device; for organization accounts, content-free audit metadata may be transmitted to your organization's isolated store as described in the Privacy Policy.
Features, browsers supported, and plan entitlements are described on our pricing and product pages and may change as we improve the product. Early-access features may be incomplete or experimental.
3. Accounts & organizations
- You must provide accurate registration information and keep credentials secure.
- Organization admins are responsible for invites, seats, policies, and member access.
- You must ensure users have authority to have their upload activity monitored under your policies.
- We may suspend accounts that violate these Terms, the AUP, or applicable law.
4. Plans, fees & billing
Paid plans are billed via Stripe. Prices, seat minimums, and intervals are shown at checkout or on an Order Form. Fees are generally non-refundable except where required by law or expressly stated. You can manage payment methods, invoices, and cancellations in the Stripe customer portal or from the dashboard Settings page when available.
Seat counts must match deployed users under your organization. We may reconcile overages and invoice additional seats. Taxes may apply. Failure to pay may result in suspension or downgrade.
5. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the extension and dashboard for your internal business or personal purposes. The extension is further licensed under the EULA. You do not acquire ownership of Watch Dog software, brands, or documentation.
6. Customer data & privacy
You retain ownership of your organization's audit metadata and configuration. For organization accounts we act as a processor/service provider as described in the Data Processing Agreement and Privacy Policy. You are responsible for providing any notices and obtaining any consents required for monitoring employee or contractor devices.
7. Acceptable use
You must comply with the Acceptable Use Policy. You remain solely responsible for your organization's security decisions; Watch Dog assists detection and does not guarantee that all sensitive data will be caught.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCH DOG IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that detection will be complete, uninterrupted, or error-free. False positives and false negatives may occur.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the minimum permitted by law.
10. Indemnity
You will defend and indemnify Watch Dog against claims arising from your misuse of the service, your violation of these Terms or law, or your failure to obtain required employee/user consents for monitoring.
11. Confidentiality
Each party may receive non-public information from the other. The recipient will use it only to perform under these Terms and protect it with reasonable care. Audit metadata about your organization is your confidential information.
12. Term & termination
These Terms apply while you use the service. You may stop by uninstalling the extension and closing your account. We may suspend or terminate for material breach, non-payment, or legal risk. Upon termination, your license ends; we will delete or return organizational data as described in the Privacy Policy and DPA, subject to legal retention requirements.
13. Changes
We may update these Terms. Material changes will be posted with an updated date (and, for paid org accounts, notified by email where practicable). Continued use after the effective date constitutes acceptance, except where an MSA/Order Form requires mutual written amendment.
14. Governing law
These Terms are governed by the laws of Western Australia, Australia, without regard to conflict-of-law rules. Courts of Western Australia have exclusive jurisdiction, unless an MSA specifies otherwise.
